Terms & Conditions
These terms govern services supplied by The Upkeep Group Pty Ltd (“we”, “us”) to the customer (“you”). By engaging us, you accept these terms in addition to any Quote or Statement of Work.
1. Engagement & Scope
Work is delivered under an accepted Quote or SOW specifying scope, KPIs, service levels, sites, and pricing.
2. Quotes, Rates & Variations
- Quotes are valid for 30 days unless stated otherwise.
- Ad-hoc or out-of-scope work is billed at the agreed schedule of rates.
- Scope changes require written approval and may adjust fees/timelines.
3. Invoicing & Payment
- Invoices are issued per the Quote/SOW (monthly, milestone or time & materials).
- Payment terms are 14 days EOM unless otherwise stated.
- Late payments may incur admin/interest charges; services may be suspended after notice.
4. WHS & Client Obligations
- We comply with WHS requirements. Client must provide safe access and disclose hazards.
- Client provides timely instructions, approvals and necessary materials.
- Utilities and amenities needed to perform work must be available.
5. Labour Hire & Compliance
- On-hire staff remain our personnel. We handle screening, payroll and awards.
- Client supervises day-to-day tasks and ensures a safe working environment.
6. IT & Data Services
- Client remains responsible for data stewardship unless otherwise agreed.
- Residual cyber risk cannot be eliminated entirely.
7. Deliverables & Defects
- Deliverables are accepted upon sign-off, production use, or 10 business days without rejection.
- Valid defects within warranty (30 days if not stated) will be remedied with reasonable efforts.
8. Confidentiality & IP
Each party must protect the other’s confidential information. Pre-existing IP remains with the owner.
9. Privacy
We handle personal information in accordance with our Privacy Policy.
10. Insurance
We maintain customary insurance cover; certificates available on request.
11. Liability
Liability is limited to resupplying services or cost of resupply. No liability for indirect or consequential loss.
12. Termination
Either party may terminate for material breach not remedied within 14 days of notice.
13. Force Majeure
Neither party is liable for delays or failures beyond reasonable control.
14. Governing Law
These terms are governed by the laws of New South Wales, Australia.
